• NFT: stands for "Non-Fungible Token", a digital object to which specific data is assigned on a Blockchain

• Blockchain: Block-based verification system used by cryptographic networks

• Cryptocurrency: a digital asset whose exchange value is agreed upon by the users themselves; this asset is not considered legal tender in France.

• WWW.OPENSEA.IO: NFT Merchant Exchange Platform

• Digital wallet: a crypto-asset storage system using a private personal key without financial intermediation.

• Ethereum and Polygon: different algorithms based on the blockchain principle that allow, among other things, exchanges between users.

Article 1: Company’s Head Office

Levi Strauss Continental, 106-108 rue de la Boétie, 75008, Paris, France (“LS” or “Levi’s®” or “we”).

Acceptance of this document (the "terms and conditions") by the winner of the “Levi's® 501® Lifetime Guarantee NFT" is an essential condition for receiving the prize.

The prize is a pair of Levi’s 501® jeans associated with a non-fungible token (hereinafter referred to as “NFT” for “Non-fungible token”) registered on a cryptographic blockchain that Levi’s has created or will create for the occasion. It will provide the right to a "lifetime guarantee" (hereinafter referred to as "the guarantee") which will not exceed 105 years, as indicated in the conditions specified here.

These terms and conditions apply to the successive owners of the two items—the jeans and the NFT—when these items are transferred together to another single person. The winner and each successive owner of these items will be herein referred to as the “beneficiary.”

We invite you to carefully read the terms and conditions set out below since they specify the conditions for accessing the services offered by the guarantee. The beneficiary acknowledges and accepts the conditions specified in this document.

Article 2: What the guarantee covers

The guarantee offers the beneficiary the following rights in addition to the legal guarantee in force:

- A repair service: One (1) maximum repair per year (every twelve months) carried out by Levi’s, including one of the following actions: alteration, repair, size adjustment, or any of the technical repair possible by Levi’s.

- Replacement service: One (1) replacement of Jeans every 3 (three) years in the event that the repair service cannot restore the jeans in a suitable manner. In this case, Levi’s will provide a new pair of 501® jeans to the beneficiary based on the collection’s availability and stock. Such a replacement might be of a different color or model.

Levi’s will perform one of the two abovementioned services after a maximum period of two (2) months following receipt of the jeans. Levi’s reserves the right to extend this period in cases arising from exceptional circumstances which could impact the feasibility of the service.

Article 3: Guarantee Terms and Condition

The beneficiary can use the guarantee if and only if he or she is able to provide the following two items: (1) the pair of Jeans and (2) its corresponding NFT. These two items are inseparable for making a claim on the guarantee.

Levi’s is not bound to provide any of the services mentioned in Article 2 above if one of these items is missing.

If the Jeans are lost in any way whatsoever by the beneficiary, he or she will lose all the benefits provided by the guarantee.

If the beneficiary loses access to the NFT in any way whatsoever, specifically but not limited to the loss his or her private digital wallet access key, and Levi’s is not liable for this loss, the beneficiary will lose all the benefits provided by the guarantee.

However, if loss or damage to the jeans is due to Levi’s, (the jeans are damaged during the repair process or lost during shipping for example), we agree to provide the beneficiary with a new pair of 501® jeans or a similar model depending on the stock available.

Article 4: How to use the guarantee

To benefit from the guarantee, the beneficiary must take the following steps:

1. Create a digital wallet and link it to the “OPENSEA” platform, which will be used by LEVI’S to verify ownership.

2. Receive the NFT from LEVI’S by following the instructions that will have been provided.

The beneficiary can benefit from the services covered by the guarantee mentioned in Article 2 above in two ways:

A. In stores: The beneficiary must take his or her jeans directly to the Levi’s Champs Elysées store located at 76 Avenue des Champs Elysées - 75008 PARIS France (hereinafter referred to as "the store") accompanied by the NFT in order to be identified as the guarantee’s beneficiary. No other Levi’s store is equipped to handle this procedure.

B. Via the Customer Service Department: in the event that the beneficiary is not able to visit to the store, he or she can contact Customer Service by email at the following address: service.france@LEVI.com

The beneficiary must share the NFT identifier as well as the smart contract address (a contract managed in an algorithmic manner on a blockchain) in order to be identified as the beneficiary by our Customer Service Department. Once identified, the beneficiary can send his or her jeans to the Levi’s Champs Elysées store located at 76 Avenue des Champs Elysées - 75 008 PARIS or any other location in France as per the instructions provided by Customer Service. Please note that shipping costs are the responsibility of the recipient. Once the service is performed, we will assume responsibility for its return.

Please note that the guarantee’s terms and conditions may change during the coverage period due to technological developments and any unforeseeable event that may arise over such long periods. Levi’s will always make every effort to notify the beneficiaries of such changes.

Article 5: Duration

The guarantee is valid for a period of 105 years, from January 1^st, 2022 to January 1^st , 2127.

The guarantee will be extended by the amount of time required to carry out a replacement or repair.

Article 6: Transfer and assignment

The beneficiary is free to dispose of the good that constitutes the NFT which he or she will receive. In doing so, the beneficiary will be fully responsible for his or her actions and will assume the costs that this transfer may engender. The beneficiary will also be responsible for selling and sending the jeans associated with the NFT to the new purchaser so that the latter can in turn benefit from the guarantee.

The beneficiary is free to sell or transfer ownership of the jeans to anyone they choose. In doing so, the beneficiary will be fully responsible for his or her actions and assume the costs that this transfer may engender. The beneficiary will also be responsible for selling and sending the NFT associated with the jeans to the new purchaser so that the latter can in turn benefit from the guarantee.

If the NFT is transferred or sold to a new person without the jeans, or if the jeans are transferred or sold to a new person without the NFT, the new purchaser will not be able to benefit from the guarantee on the jeans.

Article 7: Liability

Levi’s cannot be held liable if during a situation of force majeure, an event beyond its control, or any event justified by its necessity, Levi’s must reduce, extend, postpone, modify, or cancel the coverage provided by the guarantee if the circumstances so require.

Levi’s cannot be held liable for an event whose fault cannot be attributed to Levi’s. This includes but is not limited to algorithmic and technical malfunctions, specifically on the OPENSEA website, which will be used to perform verifications of NFT property, or the blockchain, which will be used to encode the information, and in general, any technical hardware or software defect of any kind whatsoever that limits the ability to access the NFT or the digital guarantee or causes damage to the system of a third-party.

Levi’s disclaims all liability for any loss or damage caused to the beneficiary resulting directly or indirectly from the jeans, the NFT and/or the guarantee provided.

Article 8: Using the NFT

As the beneficiary, you become the owner of the NFT. Levi’s grants you a nonexclusive, limited, and revocable right to use and display the visual representation of the NFT (hereinafter referred to as the “visual representation”) for your personal noncommercial use, with it understood that the visual representation cannot be used other than in connection with the domain of NFTs and cannot be modified or used in any other context.

Any transfer or sale of the NFT will be carried out on the Ethereum or Polygon blockchains, which, with current technologies, meet the needs of the operation. These technologies are still in their infancy, and Levi’s has no control over their development, which can lead to the following risks:

- Any malfunction, use contrary to its initial intent, or unexpected operation of the Ethereum and Polygon blockchains could result in the NFT becoming unavailable or lost in some way.

- The Ethereum and Polygon blockchains could be subject to specific weaknesses, making them targets for cybersecurity threats.

- Bugs or vulnerabilities in the use of smart contracts used by the OPENSEA platform could affect its operation.

- The loss or theft of your private key allowing access to your digital wallet can cause you to lose access to your NFT and therefore the associated guarantee.

We disclaim all liability towards the beneficiary or any third party for inquiries into any loss and/or damage that might arise from any payment or transaction that you might make while using the virtual wallet and cryptocurrency technologies, the technologies associated with them, and their application.

The beneficiary is solely responsible for the secure storage of the private key that provides access to his or her digital wallet. By holding an NFT, the beneficiary understands and acknowledges that the regulations governing issues related to the blockchain, its services, cryptocurrencies, and assets are evolving. New laws or changes to existing laws and regulations may materially alter the definition and/or adversely affect the viability of NFTs in the future. Levi’s cannot be held liable for any loss that these changes and evolutions might entail on the guarantee.

Article 9 : Data processing

Levi’s will keep a file on the beneficiaries for the duration of the guarantee. These personal data will be processed for the purpose of awarding the guarantee as well as verifying ownership of the guarantee. We will not use your data for commercial or marketing purposes.

The beneficiaries have a right to access, rectification, and erasure of their personal data. They also have the right to data portability and the right to object to its processing. The personal data of beneficiaries may otherwise be processed by third party services such as OPENSEA or the digital wallets used by the beneficiaries to access their NFT. We strongly recommend that you read the terms and conditions of these service providers as well as their privacy policies.

Article 10 : Applicable law

The application of these terms and conditions is subject to French law. Any claim or dispute concerning these terms and conditions must be brought before the competent court of Paris without prejudice to any participant taking legal action or defending themselves within the jurisdiction of his or her residence.
